Based on the growing worldwide traction, IWSY's impressive list of channel partners, strategic partners, and technology partners, and a market cap of only $140 million, it seems to us that IWSY is clearly poised for explosive valuation and growth. You've just had ImageWare's year-end conference call - what are the key takeaways for the financial community you would like to emphasize here?

I'd like to point out what is fundamentally different about the ImageWare of today as compared with the ImageWare of the past few years. We've always known (as our long-time investors knew) that ImageWare was ahead of its time with a very powerful, best-of-breed scalable and patented biometric technology. The important question for us all was, "Could this technology become a successful business?"
As you may have seen in the two recent 8-K filing announcements, that question no longer exists. The business from our partnership with Contactable with the mobile communications carrier puts ImageWare on the path to profitability. And, there are a handful of new transactions in the pipeline that we expect to announce in the present quarter, Q2.
As to the question of why is this happening now - when for years we struggled to close deals? What has happened is that the market - our biometrics market - has begun to catch up with us. Identity IS the new Security perimeter. Throughout the world companies and governments have spent billions of dollars to install firewalls, threat detection systems and other products that protect the perimeter of their networks. But having spent those collective billions, we are still left with the facts as reported by Verizon: 80 PLUS PERCENT OF ALL SECURITY BREACHES ARE THE RESULT OF COMPROMISED PASSWORDS AND PINS. So, THEY DON’T WORK.

As we look around our industry and where it fits in our world, change is afoot. In business, change is hardly ever immediate or swift. It is time consuming and often painful and results when the pain it seeks to alleviate has reached a boiling point and can no longer be tolerated forcing change in habit and behavior. The mobile phone, color television and personal computer, staples in today’s everyday life, where not anywhere near immediate hits - taking many years to be adopted by the mass consumer market. So it is in the identity authentication space. Here at IWS we are seeing that change in real time. Folks, who over the past several years, were not ready or interested in securing their identity biometrically, are now realizing, finally, that the multiple levels of pain of multi-billion-dollar data breaches can no longer be tolerated. The market is finally catching up to us. They are also realizing that for the collective billions paid in network protection, it has not alleviated the problem. Identity IS the new security and as that reality takes hold, IWS and its investors will reap significant benefits.

ImageWare® Systems Closes $8.9 Million Preferred Stock Private Placement and Approximately $6.9 Million Debt Conversion into Equity
ImageWare Systems, Inc. (OTCQB: IWSY), a leader in mobile and cloud-based, multi-factor, multi-modal biometric identity management solutions, announced that it has completed a private placement of $8.9 million of the Company’s newly designated Series
C Convertible Preferred Stock, with four new institutional investors. Shares of Series C Preferred will accrue dividends at a rate of 8% per annum if paid in cash or 10% per annum if paid in shares of the Company’s common stock, and are convertible
into shares of the Company’s common stock at a conversion price of $1.00 per share.
Northland Capital Markets acted as the exclusive placement agent for the Series C Financing. Northland Capital Markets is the trade name for certain capital markets and investment banking services of Northland Securities, Inc., member FINRA/SIPC.
Concurrently with the Series C Financing, holders of approximately $6.9 million of unsecured debt converted their debt, which amount includes all accrued and unpaid interest thereon, into 6,897 shares of the Company’s existing Series A Convertible
Preferred Stock. The Company’s Board of Directors also declared a dividend for the holders of the Series A Preferred, pursuant to which each holder of Series A Preferred will receive a warrant to purchase approximately 40 shares of the Company’s
common stock for every share of Series A Preferred held, which warrant is only exercisable concurrently with conversion of outstanding shares of Series A Preferred.

ImageWare® Systems Reports 2018 Second Quarter and Six-Month Financial Results
Update on Partners’ Biometric Sales and Marketing
ImageWare® Systems, Inc. (OTCQB: IWSY), a leader in mobile and cloud- based, multi-factor, multi-modal biometric identity management solutions, reported financial results for the second quarter ended June 30, 2018.
Q2 Summary of Results
·Revenue for the second quarter ended June 30, 2018 increased 78% to $1.9 million from $1.1 million in the second quarter of 2017. The increase reflects increased product revenue from the Veteran’s administration and several of our law enforcement
customers.
·Gross profit for the second quarter was $1.6 million (84%) as compared with $810,000 (76%) in the second quarter 2017. The higher gross margins are due to higher software licensing revenue in the quarter.
·Net loss was $2.3 million in the second quarter compared with $2.5 million in the second quarter 2017.
Six Months Summary of Results
·Revenue for the six-month period ended June 30, 2018 increased 31% to $2.6 million from $2.0 million in the same six-month period in 2017.
·Gross profit for the six months was $2.0 million (79%) as compared with $1.5 million (74%) in the same six-month period in 2017.
·Net loss was $5.9 million in the six months compared with $5.3 million in the same six-month period in 2017.

However, we did see initial orders from several of our sales partners. Thus far in 2018 we have seen our first sales, although modest, under that model from our partners CDW, Fujitsu, Extenua and Avatier. While we have limited direct visibility on when sales projects will actually close, we do know that every project is making progress and our partners have given us good reason to believe that several will close in the second quarter,” Miller concluded.

- An existing Federal government customer, who has been using the patented IWS Biometric Engine for biometric authentication for more than five years, has made a $730,000 purchase of additional licenses.

- An ImageWare partner has made a sale to a privately held global corporation which has placed an initial order for enterprise GVID to serve the first 1,000 employees with plans to roll out GVID to its remaining 55,000 employees throughout the year.

ImageWare Systems, Inc. (ImageWare or IWS) (OTCQB: IWSY), a leader in mobile and cloud-based, multi-modal biometric identity management solutions, has completed an $11 million registered direct offering to certain accredited investors.
ImageWare sold an aggregate of 11,000 shares of new Series A Preferred Stock at $1,000 per share for gross proceeds of $11 million. After accounting for previously advanced cash that was converted into the transaction, new proceeds are expected to be approximately $10.1 million. ImageWare intends to use the proceeds for general corporate purposes such as marketing, sales and working capital.
The offering was conducted pursuant to the Company’s shelf registration statement on Form S-3 (File No. 333-214124) previously filed with and subsequently declared effective by the Securities and Exchange Commission (the “SEC”) on April 28, 2017. A prospectus supplement and accompanying base prospectus relating to the offering was filed with the SEC and is available on the SEC’s website.
Concurrently with the registered direct offering, ImageWare expects to consolidate $20.6 million worth of shares of existing Series E, Series F and Series G preferred stock into the new class of Series A Preferred Stock. The only preferred shares expected to remain outstanding after the exchange is approximately 239,000 shares of Series B Preferred Stock.

Jim Miller: ImageWare is a true pioneer and innovator in the biometric field; going back to our original entry into the market where we created digital booking systems for law enforcement agencies coupled with facial recognition to search those databases. Our first customer for those products, the State of Arizona, is still with us.
We have a wide portfolio of foundational intellectual property, which is testimony to our pioneer status in the industry as well as our reputation as an innovator in the biometric identity management space.
Our work using biometrics for physical and logical access control can be seen in Identity management systems employed by such flagship customers as the Canadian TSA, US Veterans Administration, Los Angeles World Airports, and most recently, with our contract award for five Alaskan airports.

Jim Miller: It’s always gratifying to have independent industry experts recognize ImageWare and find that our GoVerifyID enterprise product is the most innovative while embodying the best practices for identity authentication. By the way, our patented Biometric Engine, which powers all our solutions, was recognized as the best product in our industry a few years ago as well.
PINs and Passwords are the problem. They are unsecure, expensive, and hard to use and, according to a recent study by Verizon, at the root of over 80 percent of all data breaches occurring last year. The "Internet of things" (IoT) is essentially a giant network of connected "things” - a concept that not only has the potential to impact how we work, but also how we live. We can connect our devices to all manner of devices and people. This raises a huge concern with privacy and security in this connected world. Anything connected to your network is now a potential breach point; it makes data security more complex, information governance more complicated, and your corporate and customer data more vulnerable. The same concerns apply to BYOD, or as we sometimes say at ImageWare, “Bring Your Own Disaster” – every connection point is a data breach potential and a majority of folks use their personal devices at work where they access valuable corporate information.. We have seen too many times how this story ends - a single tablet or smartphone contains credentials to the entire corporate network and this “simple thing” can end up costing employers millions.
There is only one thing that can verify the actual person – biometrics, one’s unique human characteristics. A person who knows the password or has the token is not verifying the actual person, because passwords can be discovered and tokens stolen. The user’s unique physical traits, that’s where ImageWare delivers value by allowing our users to replace or augment password or PIN security with easy to use biometrics.

Jim Miller: Our initial Fujitsu partnership uses our technology in many parts of their business. They provide their Biometrics-as-a-Service SaaS offering in their cloud services by hosting our technology. This enables Fujitsu to provide biometric authentication as part of many types of IT solutions, such as Banking, Retail, and Help Desk. Well, as readers may have seen, we have recently signed agreements with Fujitsu’s Cyber Security group to resell our entire portfolio of GoVerifyID, CloudID, and Biometric Engine products across Europe, the Middle East, India and Africa. We expect to add new territories in the very near term. There’s no larger compliment to be paid than when a well-regarded global player, such as Fujitsu, wants to sell and market your products.
One of our newer technology alliances is with Aruba, an HP Enterprise company. Aruba built our technology into their Aruba ClearPass network management suite of products. This allows any of their customers to add multi-modal biometric authentication into their existing security mechanisms without needing to install any additional hardware or software. We are finding the greatest traction with Aruba in the Higher Education and Healthcare industries. Of course, we are also integrated to provide biometric authentication with CA Technologies Single Sign On product, and the SAP Cloud Platform, as well as with the Leidos product, ID HAYSTACK.
